David's Bridal, Inc. and K&F Growth Acquisition Corp. II have entered into a non-binding letter of intent to separate David's Bridal's digital division, Pearl, into a standalone public company. The proposed business combination values Pearl at a pro forma enterprise value of $350 million and includes a $75 million private investment in public equity, or PIPE, anchored by a proposed $25 million investment from CION Investment Corporation, David's Bridal's largest shareholder.
The transaction would transfer David's Bridal's intellectual property and brand to Pearl, allowing the digital platform to operate independently while maintaining a strategic relationship with the physical retail business. David's Bridal is expected to remain a material ongoing shareholder in Pearl. The company stated that its physical stores will continue operating as usual with no disruption to appointments or services.
Kelly Cook, currently the chief executive officer of David's Bridal, is expected to lead Pearl as its chief executive officer following the business combination. Elina Vilk, currently president and chief business officer of David's Bridal, is expected to serve as Pearl's president. Cook, who has been with David's Bridal since 2019, previously led transformations at Continental Airlines and DSW Designer Shoe Warehouse. Vilk, who joined David's Bridal in 2024, has previous leadership roles at Meta, PayPal, Hootsuite, WooCommerce and Visa.
Pearl operates an AI-powered ecosystem that includes Pearl Planner, a planning platform; Pearl Connect, a vendor management SaaS; and a digital content network featuring LoveStoriesTV and social media channels. The platform reports reaching 8 million followers and 30 million monthly viewers. Pearl estimates that approximately 90% of U.S. brides engage with its ecosystem and reports about 13 billion annual brand impressions and interactions across David's Bridal and Pearl properties.
Financial projections for the standalone entity indicate that Pearl is forecasted to generate greater than 30% EBITDA margins in 2026. The company projects revenue growth of more than 100% in 2027 to reach in excess of $85 million, alongside positive free cash flow in both years. These figures are part of the non-binding letter of intent and are subject to final agreement.
The U.S. wedding services market is estimated to be nearing $100 billion in annual value in 2026, according to Grand View Research. The Centers for Disease Control reported that an estimated 2.1 million couples were married in the U.S. in 2024. Pearl’s model aims to connect these couples with vendors through revenue generated from advertising, vendor subscriptions, marketplace transactions and brand licensing.
