Climb Global Solutions, Inc. (NASDAQ:CLMB) has completed the acquisition of NeoVAD, a France-based value-added IT distributor, for an aggregate purchase price of approximately $18.0 million. The deal expands Climb's European platform and deepens strategic vendor relationships. The company expects the transaction to be accretive to earnings per share and adjusted EBITDA.

NeoVAD serves reseller partners across the French market. It focuses on cybersecurity, cloud services, and virtualization. The company brings an established presence in France, including approximately 300 active resellers. Its vendor relationships include Cato Networks, DataCore, and Netwrix. For the fiscal year ended December 31, 2025, NeoVAD generated EBITDA of approximately $2.5 million. That figure represents a 487% increase from approximately $427,000 in the prior fiscal year. These figures are derived from internal financial statements prepared by NeoVAD management and may not be comparable to Climb's non-GAAP measures.

Dale Foster, CEO of Climb, stated that NeoVAD is a strong fit for the company's strategy to expand scale and capabilities across Europe. He noted that the acquisition adds meaningful reach in France. It also creates opportunities to bring more of Climb's portfolio to NeoVAD's reseller network. Foster highlighted the potential to expand Climb's Microsoft distribution business by pairing existing EMEA capabilities with NeoVAD's local training and technical support expertise. He expects the acquisition to be accretive to earnings and adjusted EBITDA. NeoVAD's stronger margin profile supports profitability objectives.

Jérôme Boulon, founder and CEO of NeoVAD, commented that Climb shares NeoVAD's focus on specialized, value-added distribution. Climb brings broader scale and capabilities, Boulon stated. He said the partnership offers significant opportunity to expand solutions for reseller partners. It also creates additional opportunities for vendors across Climb's European platform.
