Super League Enterprise, Inc. stockholders approved all proposals for a strategic investment by Metaplanet, Inc., on October 16, 2026. The vote clears the path for a transaction that will transform Super League into a U.S. Bitcoin treasury platform linked to Metaplanet's holdings on the Tokyo Stock Exchange.
Under the definitive agreement announced on August 18, 2026, Metaplanet Holdings, Inc., a wholly owned U.S. subsidiary of Metaplanet, will contribute 2,100 Bitcoin and $2.5 million in cash to Super League at closing. The 2,100 Bitcoin was valued at approximately $132.1 million based on the Coinbase Exchange closing price at 4:00 p.m. New York City time on August 14, 2026. By October 16, 2026, that value had increased to approximately $170.0 million, though the company notes that Bitcoin prices remain volatile and subject to fluctuation.
In exchange for the digital assets and cash, Metaplanet will receive 44,859,400 shares of Super League common stock at a fixed price of $3.00 per share. This share count was determined using the reference price from August 14, 2026, and will not change based on Bitcoin price movements before the deal closes. Additionally, Metaplanet will receive 100 shares of convertible perpetual preferred stock with specific governance rights and ten-year warrants to purchase up to 381,000,000 shares of common stock. These warrants are structured in four tranches with exercise prices ranging from $3.00 to $33.50 per share.
The transaction is anticipated to close in the fourth quarter of 2026, subject to customary conditions including filings with the Nasdaq Capital Market. Upon closing, Super League will be renamed Superplanet, Inc., and its ticker symbol will change from SLE to SUPA. The company’s existing advertising and media activation business will continue as a separate operating segment under Chief Executive Officer Matt Edelman.
Metaplanet has agreed to a five-year lock-up period for all common stock issued at closing and any shares resulting from warrant exercises or preferred stock conversions. This lock-up applies subject to certain exceptions and signals a long-term commitment to the venture. The deal creates a platform spanning Nasdaq and the Tokyo Stock Exchange, combining investor bases and currencies around a single group-level Bitcoin position.
Matt Edelman, Chairman and Chief Executive Officer of Super League, stated that stockholder support brings the company closer to redefining its scale. He noted that if the transaction closes, the company would possess a treasury seeded with 2,100 Bitcoin alongside its operating business serving major global brands.
