Marwynn Holdings, Inc. entered into a memorandum of understanding with OmniX Technologies Pte. Ltd. on October 8, 2026, to evaluate cooperation in artificial intelligence and real-world asset infrastructure. The agreement, disclosed in an 8-K filed with the Securities and Exchange Commission on October 9, 2026, outlines a framework for potential services but does not commit either party to a definitive transaction.
The MOU identifies Marwynn, a Nevada corporation listed on the Nasdaq Stock Market LLC under the ticker MWYN, and OmniX, a Singapore private company, as preferred partners in specific markets. Marwynn and its affiliates, including NexaCore Technologies, Inc., are designated as preferred suppliers of computing and AI services for OmniX platform workloads. Conversely, OmniX is designated as Marwynn's preferred provider of RWA securities trading infrastructure and multi-asset account technology. These designations apply to markets where both parties hold necessary licenses or registrations, as well as other markets agreed upon by a coordination committee.
The parties will evaluate several areas of potential cooperation, including AI model training, inference, and data analytics for OmniX workloads. Joint development efforts may include agent orchestration, quantitative trading strategy support, risk analytics, and fraud detection. The MOU also covers the evaluation of an operating model for the issuance, custody, and settlement of RWA instruments, as well as potential distribution through the OmniX platform. Additionally, the parties plan to assess the feasibility of a regional hub for AI and digital financial services serving the Caribbean and Latin America.
While the MOU establishes binding obligations regarding process and priority, it explicitly states that neither party is required to place or accept orders, transact at any specific price, or enter into definitive agreements. For covered requirements, the requesting party must first offer the requirement to the other party before soliciting third-party arrangements, unless the other party declines in writing or fails to respond within 15 business days. Either party may terminate its preferred-partner obligations with 30 days' written notice.
The agreement contemplates an indicative four-phase evaluation period spanning 18 months. The first phase involves mobilization during the initial 30 days, followed by an assessment period from days 31 through 120. Potential limited pilots are scheduled for months five through nine, with negotiation and execution of definitive agreements potentially occurring in months ten through eighteen. A coordination committee will oversee this process, though the timing is indicative and neither party is required to proceed to later phases.
The MOU remains in effect for 18 months from its effective date unless extended in writing or superseded by definitive agreements. It does not establish contracted revenue for Marwynn and specifies no price, fee, or minimum purchase commitment. The document notes that it does not confer regulatory authorization on either party and does not create a partnership, joint venture, or agency relationship.
