The scale argument

First Financial Bank already operates more than 85 banking centers across Georgia, Illinois, Indiana, Kentucky, and Tennessee, sitting at approximately $6.1 billion in assets. Hickory Point Bank, First Illinois's wholly owned subsidiary, reported approximately $717 million in total assets, $438 million in total loans, and $627 million in total deposits as of June 30, 2026. The combined company would hold roughly $6.9 billion in total assets, $4.9 billion in total loans, and $5.5 billion in total deposits, according to the joint announcement. Hickory Point's eight branches concentrate in Decatur, Springfield, and Champaign. That central Illinois presence fills a specific geographic gap in THFF's existing footprint. Chairman Douglas J. Schmalz and President Anthony G. Nestler made the case for scale in their letter to First Illinois shareholders: greater size provides capacity to invest in technology, security, talent, products, and client capabilities that a standalone $717 million institution would find difficult to fund independently.

The counterargument

The counterargument is that community bank acquisition math rarely survives contact with integration. Merging eight branches into a network already more than 85 centers wide requires technology migration and customer continuity across a franchise spanning five states. Timeline is another variable. Before First Illinois shareholders can vote, First Financial must file a Form S-4 registration statement with the Securities and Exchange Commission. That filing, which will carry the proxy materials shareholders need to evaluate the terms, adds a procedural gate during which THFF's stock price can drift from the $79.07 reference level used to set the deal's stated value.

On balance, THFF gets a focused community banking acquisition that adds density to its Illinois presence. The read-through is scale over scope. The line to watch is the S-4 filing, which will carry the financial assumptions behind a reference price fixed on a single trading day in August 2026.
