Empery Digital Inc. has resumed repurchasing its common stock under an existing $200 million program, a move the company says reflects its view that shares are undervalued relative to its balance sheet. The Austin, Texas-based firm disclosed the update alongside progress on a Midwest AI data center investment, where it expects to execute a lease in the near term. The company stated its intention to continue repurchasing shares opportunistically while retaining sufficient cash to fund current commitments and pursue future AI infrastructure opportunities.
In the week ending October 23, 2026, Empery Digital repurchased 122,955 shares at an average price of $2.89 per share, including fees and commissions. As of that date, the company had repurchased an aggregate of 26,363,499 shares. Following these transactions, Empery Digital reported 29,694,955 shares outstanding after accounting for the potential exercise of 1,653,686 pre-funded warrants. Approximately $50 million remains available under the share repurchase authorization. Ryan Lane, Co-Chief Executive Officer of Empery Digital, said the company's focus remains on allocating capital to create shareholder value by balancing accretive repurchases with investments that can generate meaningful cash flow.
The company's balance sheet as of October 23, 2026, included holdings of 1,018 bitcoin, approximately $70 million in cash and approximately $35 million in debt. Management indicated that the balance sheet provides flexibility to resume share repurchases while maintaining capital for AI infrastructure projects.
Regarding its Midwest expansion, Empery Digital's partner Hunt Properties Inc. is advancing a 15-year triple net lease for a data center facility expected to service high investment grade counterparties. Empery Digital agreed to invest $65 million for a 25% interest in the private entity acquiring the facility. The site offers 150 megawatts of power with an owned substation and has the potential to expand to approximately 300 megawatts. Under the lease structure, the tenant will fund the data center buildout, power usage and operating costs. Empery Digital's financial commitment is capped at the $65 million it has already invested. Hunt Properties is still working to secure favorable lease conditions for the joint venture.
The company noted that forward-looking statements in the disclosure are subject to risks and uncertainties. These factors include the ability to negotiate definitive long-term leases on commercially acceptable terms, potential delays in data center development, and the significant valuation uncertainty associated with its data center investments. Other risks cited include the highly volatile nature of bitcoin prices, competition in the industries in which the company operates, and legal and regulatory uncertainties regarding digital assets.
