Skyworks Solutions (NASDAQ: SWKS) jumped 7% to $89.64 Friday after chief executive Phil Brace told an investor conference the pending $22 billion combination with Qorvo (NASDAQ: QRVO) has reached its final stages, with only two regulatory jurisdictions still outstanding.
The case for the move is clear. What complicates it is that those two remaining approvals sit outside either company's control.
Qorvo climbed 5% to $118.04, a mechanical outcome of the fixed exchange ratio embedded in the merger agreement: Qorvo shareholders will receive $32.50 per share in cash at close, plus 0.96 Skyworks shares for each share they hold.
As that timetable compresses, Qorvo tracks Skyworks more tightly.
