9/16/2026

A $549 million deal to acquire Ausgold and its Katanning Gold Project in Western Australia positions OceanaGold for a fifth operating asset.

The risk is that the transaction, structured as an Australian court-approved scheme of arrangement, must clear a 75% shareholder approval threshold and a queue of regulatory sign-offs before a December 2026 target close, all while the asset itself won't produce a single ounce until 2029.

OceanaGold has agreed to pay 0.03365 of its own shares for each Ausgold share, a ratio that equated to A$1.36 per Ausgold share based on OceanaGold's closing price on 14 August 2026.

The implied equity value for Ausgold is approximately A$776 million ($549 million). A cash alternative is on offer, though the total cash pool is capped at A$194 million.
